Uber Takeover Gets Delivery Hero Board Backing

Delivery Hero’s leadership has backed Uber’s proposed $15 billion acquisition, moving the transaction closer to shareholder approval. The decision follows a review by the company’s management and supervisory boards, which evaluated the offer and its potential effects on stakeholders.

The boards concluded that the proposed transaction serves the interests of Delivery Hero and its shareholders. Furthermore, they described the financial terms as fair while highlighting potential benefits for employees and other stakeholders. The recommendation now places greater attention on the company’s shareholders, who must decide whether to support the acquisition.

Uber already holds the position of Delivery Hero’s largest shareholder, giving it an important role in the proposed transaction. However, the company still needs to secure support representing more than half of Delivery Hero’s outstanding share capital. Specifically, Uber requires acceptance from at least 50% of shareholders plus one additional share.

Meanwhile, the transaction could significantly expand Uber’s presence across international food delivery markets. If shareholders approve the proposal, Uber would substantially increase the scale of its delivery operations. As a result, the combined business could become one of the world’s largest food delivery platforms outside China.

The deal could also strengthen Uber’s competitive position against other major delivery companies. In particular, the expanded network would give Uber greater reach across markets where demand for restaurant delivery continues to develop. Additionally, a larger operational footprint could support investments in technology, products, logistics, and customer services.

Prosus, another major investor in Delivery Hero, has also agreed to sell its 17% holding. Therefore, the planned transaction would bring another significant shareholder into the proposed ownership changes. The agreement could consequently simplify the path toward completing Uber’s broader acquisition strategy.

Before pursuing the wider transaction, Delivery Hero also arranged the sale of operations across 14 markets. Those businesses operate in regions where Uber Eats already maintains a presence, making the divestments relevant to the broader restructuring. An investment firm agreed to purchase those operations for approximately $1.6 billion.

The proposed Uber Takeover reflects a broader wave of consolidation across the global food delivery industry. Over recent months, several large companies have pursued acquisitions or asset purchases to strengthen their regional positions. Consequently, competitors continue reshaping their businesses as they seek greater scale and stronger market coverage.

Uber has also expanded through other transactions involving food delivery businesses. Meanwhile, competitors have pursued their own acquisitions involving established delivery operations in different international markets. Together, these developments demonstrate how companies increasingly view scale as an important factor within the sector.

For Delivery Hero, shareholder approval now represents the next major stage of the process. If investors accept the proposal, Uber would gain substantially greater control over Delivery Hero’s international delivery operations. The transaction could therefore reshape competition across several major food delivery markets.

At the same time, the proposed Uber Takeover highlights the continuing consolidation of digital delivery services. Companies increasingly seek larger networks, stronger technology capabilities, and broader customer access through strategic acquisitions. Ultimately, shareholder approval will determine whether this major transaction moves toward completion.
